PRICE AND PAYMENT
The Price shall include all charges for delivery, packaging, insurance and carriage and be fixed.
Provided that an authorised signatory has signed for Goods or Services STAR Housing will make payment to the Contractor by BACS (Bank Automated Clearing System) within 45 days following receipt of the invoice or acceptance of the relevant Goods or Services. No other method of payment is acceptable and the Contractor shall provide their bank account details at least 45 days prior to payment becoming due. STAR Housing shall not be liable for any late payment charges where the Contractor fails to provide STAR Housing with their correct bank account details.

DELIVERY
STAR Housing may reject any Goods which are not in accordance with the Agreement and STAR Housing shall not be treated as having accepted any Goods until STAR Housing has had a reasonable time to inspect them following delivery or, if later, within a reasonable time after a latent defect in the Goods has become apparent.
The Contractor shall deliver the Goods properly and securely packed and supply the Services during STAR Housing’s usual business hours (8:45 to 17:00 Monday to Thursday and 8:45 to 16:00 Friday) or in accordance with the Purchase Order.

TITLE - PASSING PROPERTY
Property and risk in the Goods will remain with the Contractor until the Goods are delivered as per the Purchase Order and a nominated employee has signed a delivery note for them, whereupon title will pass to STAR Housing.

WARRANTY
A minimum 12 month warranty for goods and all component parts is required.

INDEMNIFICATION
The Contractor shall indemnify STAR Housing against all reasonable damage, liability, costs, claims, actions and proceedings arising out of the performance, defective performance or otherwise of this Agreement.

TERMINATION AND CANCELLATION
STAR Housing, upon giving the Contractor notice in Writing, may cancel any Purchase Order at any time. A fair and reasonable price will be paid for all legitimate work in progress at the time of the cancellation.

AGREEMENT STATUS AND TRANSPARENCY
It is acknowledged that, except for any information which is exempt from disclosure under the Freedom of Information Act, the content of this Purchase Order and any associated tender documentation provided by the Contractor (the Tender Submission) is not Confidential Information.
The Contractor gives his consent for STaR Housing to publish this Purchase Order/Agreement and the Tender Submission in its entirety to the general public. The Contractor shall assist and cooperate with STAR Housing to enable STAR Housing to publish this Agreement and the Tender Submission.

INSURANCE
The Contractor shall maintain a comprehensive policy of Public Liability and Employers Liability insurance for minimum of £5,000,000. Product Liability insurance of at least £2,000,000 and Professional Indemnity insurance of at least £1,000,000 cover for any one claim may also be required.
